WILL PATRA – TERMS OF SERVICE (INDIA)

These Terms of Service ("Terms") govern access to and use of the Will Patra platform (the "Platform") by citizens of India.

For Indian citizens, the Platform is operated and services are provided by WillPatra Services LLP, an Indian limited liability partnership ("Will Patra"), under license from WillPatra LLC, a company incorporated in the United States.

By accessing or using the Platform, you confirm that you are a citizen of India, at least 18 years old, a testator or authorized executor or beneficiary or guardian or any other individual or company (collectively defined as "users") and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Purpose and Overview of the Platform

The Platform is a digital succession-planning and related document-management solution designed to help individuals organize, store, and manage their testamentary and legacy-related documents in a structured and user-controlled manner.

The Platform provides both free and paid services and offers technology-enabled tools and guided support to assist users in documenting their wishes and organizing information for future reference.

The Platform does not provide legal advice, legal representation, or any substitute for advice from a qualified legal professional. Will Patra and any of its affiliates, employees or subsidiaries, is in no way an executor, administrator of any Will.

2. Services

The following services are offered at no cost:

2.1 SmartWill (Do-It-Yourself)

You may create a SmartWill through a self-guided process that allows you to draft, edit, update, or revise a Will at any time and store it within your account. All decisions and content are solely your responsibility.

2.2 Upload of Existing Will

You may upload an existing Will prepared through another service provider for secure digital storage and access management. Will Patra does not review, validate, amend, or certify the legality or enforceability of any uploaded Will; although, Will Patra may introduce certain features in the future using Artificial Intelligence to review your Will and provide you with valuable insights.

3. Services

The Platform may offer optional paid services, including:

3.1 SmartWill Assistance

Guided technical support limited to explaining Platform features, assisting with navigation, responding to general usage of the Platform related questions as well as generic questions regarding the process of Will making, execution, terminologies, and other similar questions. This service does not include legal advice or legal opinions; although, we may use external legal advice for your benefit on a case by case basis.

3.2 SmartVault

A secure digital storage service allowing you to store documents and designate individuals who may be granted access after your passing, subject to the verification of the recipient.

3.3 Additional Services

Additional paid services may be offered from time to time. Scope, pricing, and terms will be disclosed at the time of offering and may be subject to separate terms.

4. No Legal, Tax, or Financial Advice

The Platform provides non-legal document-generation tools, storage functionality, organizational tools, notifications and account management only. It does not provide legal, tax, or financial advice, and use of the Platform does not create an attorney-client privilege, advisor-client, or fiduciary relationship.

You or your legal representative are solely responsible for reviewing documents, ensuring legal compliance, and consulting qualified professionals where appropriate.

5. Eligibility

You must be at least 18 years old, a citizen of India, of sound mind, and legally capable and authorized of entering into a binding contract for the use of the Platform at all times including browsing the Platform.

6. User Accounts and Responsibilities

You agree to provide accurate information, maintain confidentiality of login credentials, and notify Will Patra immediately of unauthorized access. You are responsible for all activity conducted through your account.

7. Accuracy of Information and User Responsibility

Documents generated or stored on the Platform rely entirely on information you provide. Will Patra does not verify accuracy, legal sufficiency, or jurisdiction-specific enforceability. Errors or omissions may affect outcomes of the document generated.

8. Role-Based Access to Your Account

You may designate individuals (such as executors, beneficiaries, guardians or other individuals) for limited, read-only access to your account after verification events such as submission of a death certificate. Will Patra performs procedural checks only and does not verify legal authority. All information entered is subject to fraud regulations and any other such applicable regulations and can be shared with legal or regulatory authorities to comply with applicable laws.

9. India-Specific Legal Disclosures

9.1 Intermediary Role

Will Patra functions as an intermediary technology platform and does not adjudicate disputes or determine legal enforceability.

9.2 Personal Law Applicability

Succession outcomes may vary based on personal laws, asset types, and circumstances. Will Patra does not determine which law applies.

9.3 Electronic Records and Execution

Documents qualify as electronic records; however, physical execution, witnessing, notarization, or registration remain your responsibility.

9.4 Witnesses and Registration

Most Wills require two witnesses. Improper execution may invalidate a Will. It is your sole responsibility to physically sign the Will in front of two witnesses to make the Will legally valid. In case of registration or notarization, you must sign the Will along with two witnesses in front of the registrar or notary official. Guidance prompts are informational only and do not create any binding authority.

9.5 Nominee vs. Beneficiary

Nomination does not necessarily determine succession. Applicable laws may override nominations.

10. User License

You are granted a limited, revocable, non-exclusive, non-transferable license to use the Platform for personal, lawful, non-commercial purposes. Reverse engineering, copying, or unauthorized use is prohibited. You shall not, directly or indirectly: (a) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how or algorithms relevant to any portion of the Platform (b) modify, translate or prepare derivative works any portion of the Platform; (c) publish or disclose to any third party any evaluation of any portion of the Platform; (d) interfere with or disrupt the integrity or performance of any portion of the Platform; (e) gain unauthorized access to the Platform; (f) attempt to unlock or bypass any initialization system, encryption method or copy protection devices in the Platform; and (g) alter, remove or obscure any patent, trademark or copyright notice in the Platform

11. Electronic Communications and Consent

By using the Platform, you consent to receive communications electronically (email, SMS, in-platform). Essential communications may be sent regardless of preferences. Standard carrier charges may apply.

12. Notifications to Third Parties

You may notify designated individuals of their role. Such communications are informational only and do not create legal obligations or grant access beyond Platform rules. You are responsible for taking all the permissions from beneficiaries, executors and guardians or any other individual you may designate for sending notifications and other communications through the Platform.

13. Fees and Payments

Certain features may require payment. Fees are disclosed in advance, are non-refundable unless stated otherwise, and may be revised with notice.

14. Intellectual Property

All Platform Intellectual Property is owned exclusively by WillPatra LLC. WillPatra Services LLP operates the Platform under a limited license. Users receive no ownership rights.

15. Privacy and Data Protection

Use of the Platform is governed by the Will Patra Privacy Policy. Personal data is processed in accordance with the DPDP Act, 2023, and may be processed outside India. Please review our Privacy Policy to learn more.

16. Platform Availability and Modifications

Will Patra may modify, suspend, or discontinue any part of the Platform at any time and does not guarantee uninterrupted availability.

17. Termination

You may close your account at any time and Will Patra will delete all information associated to your account. Will Patra may suspend or terminate access for violations, misuse, or unlawful activity.

18. Disclaimers

The Platform is provided “as is” and “as available.” No warranties are provided regarding accuracy, suitability, or uninterrupted service.

19. Limitation of Liability

To the maximum extent permitted by law, Will Patra shall not be liable for indirect or consequential damages. Total liability shall not exceed fees paid in the preceding 12 months.

20. Indemnification

You agree to indemnify and hold harmless Will Patra from claims arising from your use of the Platform, information provided, or violation of these Terms.

21. Force Majeure

Will Patra shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, or technical failures.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996, seated in Mumbai.

23. Changes to These Terms

Will Patra may update these Terms from time to time. Continued use constitutes acceptance.

25. Severability, Assignment, and Survival

If any provision is held unenforceable, remaining provisions shall remain in effect. Will Patra may assign these Terms. Provisions relating to IP, disclaimers, liability, indemnity, and governing law survive termination.
